These Terms of Service ("Terms") govern your access to and use of the website botinnovationlab.com (the "Site") and any services provided through the Site by Bot Innovation Lab ("BIL," "we," "us," or "our").
1. Acceptance of Terms 1.1. By accessing, browsing, or utilizing the Site or any associated services, you, the user ("User" or "you"), unequivocally signify your comprehension, acceptance, and agreement to be legally bound by these Terms, in their entirety. Should you dissent from any provision contained herein, you are expressly prohibited from accessing or using the Site. 1.2. These Terms constitute a legally binding agreement between you and Bot Innovation Lab. We reserve the right, at our sole discretion, to modify or revise these Terms at any time without prior notification. Your continued use of the Site subsequent to any such modifications shall constitute your affirmative acceptance of the revised Terms.
2. Access and Use of Services 2.1. Permitted Use. Bot Innovation Lab grants you a limited, non-exclusive, non-transferable, revocable license to access and make personal, non-commercial use of the Site, strictly in accordance with these Terms. 2.2. Prohibited Conduct. You agree not to engage in, or facilitate others in engaging in, any of the following prohibited activities: a. Violating any applicable local, state, national, or international law or regulation. b. Infringing upon the intellectual property rights of Bot Innovation Lab or any third party. c. Transmitting any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable. d. Employing any automated system, including but not limited to "robots," "spiders," or "offline readers," to access the Site in a manner that sends more request messages to our servers than a human can reasonably produce in the same period by using a conventional web browser. e. Introducing any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful. f. Attempting to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site. g. Impersonating or attempting to impersonate Bot Innovation Lab, a Bot Innovation Lab employee, another user, or any other person or entity.
3. Intellectual Property Rights 3.1. All content, features, and functionality on the Site, including but not limited to text, graphics, logos, images, software, and their arrangement ("Content"), are the exclusive property of Bot Innovation Lab, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. 3.2. These Terms permit you to use the Site for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Content on our Site, except as generally permitted by the Site’s functionality for personal use. 3.3. The Bot Innovation Lab name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Bot Innovation Lab or its affiliates or licensors. You must not use such marks without the prior written permission of Bot Innovation Lab.
4. Disclaimers and Limitation of Liability 4.1. Disclaimer of Warranties. THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. BOT INNOVATION LAB HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE. 4.2. Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BOT INNOVATION LAB, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE; (iii) ANY CONTENT OBTAINED FROM THE SITE; AND (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
5. Termination 5.1. We reserve the right to suspend or terminate your access to all or part of the Site, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. 5.2. Upon termination, your right to use the Site will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
6. Governing Law 6.1. These Terms shall be governed and construed in accordance with the laws of the jurisdiction where Bot Innovation Lab is registered, without regard to its conflict of law provisions.
7. Miscellaneous Provisions 7.1. Severability. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. 7.2. Entire Agreement. These Terms constitute the entire agreement between us regarding our Site, and supersede and replace any prior agreements, oral or otherwise, regarding the Site.
